1. Parties, Acceptance, and Definitions

1.1 Parties
These Terms of Use and Terms & Conditions ("Terms") constitute a legally binding agreement between Good Life Games ("Company," "we," "us," or "our"), a business operating from 10842 Old Mill Road, Suite 1, Omaha, NE 68154, USA, and you, the individual or entity accessing or using the Service ("User," "you," or "your").

1.2 Definitions

• "Service" means the Good Life Games website (www.goodlifegames.co), web and mobile applications, subscription platform, community features, content, and all associated tools and services.
• "Account" means a registered user profile created to access the Service.
• "Subscription" means a paid plan granting access to premium features of the Service.
• "User Content" means any content, data, text, media, or other material submitted, posted, or otherwise made available by a User through the Service.
• "Intellectual Property" means patents, trademarks, trade secrets, copyrights, and all other proprietary rights.
• "Company Content" means all content, software, features, graphics, and materials made available through the Service by Good Life Games.

1.3 Acceptance of Terms
By creating an Account, subscribing to a plan, or accessing any part of the Service, you represent and warrant that: (a) you are at least 18 years of age, or between 13 and 17 years of age with verifiable parental or guardian consent; (b) you have the legal authority to enter into a binding agreement; (c) if agreeing on behalf of a company or organization, you have authority to bind that entity; and (d) your use of the Service complies with all applicable laws and regulations.

1.4 Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address on your Account and/or by a notice posted within the Service, with at least 14 days’ advance notice before taking effect. Your continued use of the Service after the effective date of any change constitutes acceptance of the revised Terms. If you do not agree to modified Terms, you must close your Account prior to the effective date.

2. Accounts and Registration

2.1 Account Creation
To access most features of the Service, you must register for an Account. When registering, you agree to provide accurate, current, and complete information. You agree to maintain and promptly update your Account information to keep it accurate and complete.

2.2 Account Security
You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password. You agree to: (a) use a strong, unique password not used on any other service; (b) notify us immediately at info@goodlifegames.co upon becoming aware of any unauthorized use of or access to your Account; and (c) log out of your Account at the end of each session on shared devices. We will not be liable for any loss or damage resulting from your failure to safeguard your credentials. Any activity occurring under your Account is your responsibility.

2.3 Account Types
We offer individual and company/organization Account types. Company Accounts may appoint one or more administrators (“Admins”) who have elevated access to manage team members, permissions, and Account settings. Admins are responsible for ensuring that all users operating under a Company Account comply with these Terms.

2.4 Account Suspension and Termination by Company
We reserve the right, at our sole discretion, to suspend or terminate your Account and access to the Service, with or without notice, for any of the following reasons:

• Violation of these Terms or any applicable law
• Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the Company
• Non-payment of applicable subscription fees
• Extended inactivity (as described in our Privacy Policy)
• Any other reason we deem necessary to protect the integrity of the Service

Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5 (Intellectual Property), 7 (User Content), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution).

2.5 Account Termination by User
You may close your Account at any time by contacting us at info@goodlifegames.co. Voluntary termination does not entitle you to a refund of any prepaid subscription fees except as required by applicable law or as expressly stated in Section 3.4 (Refund Policy).

3. Subscriptions, Billing, and Payment

3.1 Subscription Plans
The Service is offered on a subscription basis. Available plans, pricing, and included features are described on our website and are subject to change. We will provide at least 30 days’ advance notice of any price increase to existing subscribers, which will take effect at the next renewal cycle following the notice period.

3.2 Billing and Renewal
Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) unless cancelled prior to the renewal date. By subscribing, you authorize us (through our payment processor) to charge your payment method on a recurring basis. You are responsible for ensuring your payment information is current and valid.

3.3 Failed Payments
If a payment fails, we will notify you and attempt to reprocess the payment. If payment cannot be collected within 7 days of the failed attempt, your Account may be downgraded to a free tier or suspended until the outstanding balance is resolved.

3.4 Cancellation and Refund Policy
You may cancel your subscription at any time through your Account settings or by contacting us. Upon cancellation:

• Your subscription will remain active through the end of the current paid billing period.
• You will not be charged for subsequent billing periods.
• Fees paid for the current or prior billing periods are generally non-refundable, except where required by applicable law or at our sole discretion in exceptional circumstances.
• Annual subscriptions cancelled within 14 days of the initial purchase date (not renewal) may be eligible for a prorated refund at our discretion.

If you believe you were charged in error, contact info@goodlifegames.co within 30 days of the disputed charge.

3.5 Taxes
Subscription fees are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or other taxes imposed by applicable law on your subscription purchases. Where required, we will collect and remit applicable taxes.

4. Acceptable Use Policy

4.1 Permitted Uses
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner that is consistent with its intended purpose as a subscription-based gaming and engagement platform.

4.2 Prohibited Conduct
You agree not to, and will not permit any third party to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
• Violate, infringe, or misappropriate any third party’s intellectual property, privacy, publicity, or other proprietary rights
• Transmit any content that is defamatory, obscene, harassing, abusive, threatening, hateful, discriminatory, or otherwise objectionable
• Upload, transmit, or distribute malware, viruses, or any other malicious code or software
• Attempt to gain unauthorized access to the Service, other Accounts, or systems connected to the Service
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Service
• Use automated scripts, bots, scrapers, or data mining tools to access, collect, or harvest data from the Service without our express written consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Use the Service to develop competing products or services, or to benchmark the Service for competitive purposes without our consent
• Circumvent, disable, or interfere with security-related features of the Service
• Sell, resell, sublicense, or transfer your Account or access to the Service to any third party without our prior written consent

4.3 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account, removal of User Content, and/or legal action. We reserve the right to investigate suspected violations and cooperate with law enforcement authorities.

5. Intellectual Property

5.1 Company Ownership
The Service and all Company Content — including but not limited to software, code, designs, graphics, text, logos, trademarks, and data compilations — are owned by or licensed to Good Life Games and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service or Company Content.

5.2 Limited License to Users
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes during the term of your subscription. This license does not permit: (a) sublicensing or resale; (b) reproduction or distribution of Company Content outside the Service; (c) modification or creation of derivative works; or (d) commercial exploitation of the Service or Company Content.

5.3 Feedback
If you submit ideas, suggestions, or feedback regarding the Service (“Feedback”), you hereby assign to Good Life Games all rights, title, and interest in such Feedback, and agree that we may use and implement it for any purpose without compensation or attribution to you.

5.4 Trademarks
"Good Life Games," the Company logo, and any other product or service names or slogans displayed on the Service are trademarks of Good Life Games. You may not use these trademarks without our prior written permission. All other trademarks appearing on the Service are the property of their respective owners.

6. Community Features and Sponsor Integrations

6.1 Community Participation
The Service may include community features such as forums, leaderboards, group challenges, shared dashboards, and collaborative activities. When participating in community features, you agree to treat other users with respect and to comply with the Acceptable Use Policy (Section 4) at all times. We reserve the right, but assume no obligation, to monitor community areas and remove content or restrict access that violates these Terms.

6.2 Sponsor Integrations
The Service may include sponsored challenges, branded content, or partner integrations from time to time. Sponsored content will be clearly identified as such. Good Life Games does not endorse any sponsor’s products or services. Any transactions between you and a sponsor are solely between you and that sponsor; Good Life Games is not a party to such transactions and assumes no liability for them.

6.3 Third-Party Links
The Service may contain links to third-party websites or services. These links are provided for convenience only. We have no control over, and assume no responsibility for, the content, privacy practices, or terms of any third-party site. Accessing third-party sites is at your own risk.

7. User Content

7.1 Ownership
You retain ownership of any intellectual property rights you hold in User Content you submit to the Service. These Terms do not transfer any ownership of your User Content to us.

7.2 License Grant to Company
By submitting User Content to the Service, you grant Good Life Games a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, display, distribute, modify, adapt, and create derivative works from your User Content solely for the purposes of: (a) operating, maintaining, and improving the Service; (b) displaying your content to other users in accordance with your privacy settings; and (c) complying with legal obligations.

7.3 Content Standards
You represent and warrant that your User Content: (a) is original or you have all necessary rights to submit it; (b) does not infringe any third-party intellectual property, privacy, or publicity rights; (c) does not contain false or misleading information; and (d) complies with Section 4 (Acceptable Use Policy).

7.4 Content Removal
We reserve the right, but not the obligation, to remove or restrict access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We may also preserve and disclose User Content if required by law.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, available at www.goodlifegames.co/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy with respect to data handling, the Privacy Policy shall govern.

9. Disclaimers and Warranties

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Service or any server making it available is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

Nothing in these Terms limits or excludes any warranty or liability that cannot be limited or excluded under applicable consumer protection law. In particular, nothing in these Terms affects the statutory rights of consumers.

10. Limitation of Liability

To the fullest extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to Good Life Games during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred US dollars (USD $100.00).

The foregoing limitations shall not apply to liability arising from our gross negligence or willful misconduct, or to any liability that cannot be limited or excluded under applicable law (including consumer protection statutes in applicable jurisdictions).

11. Indemnification

You agree to indemnify, defend, and hold harmless Good Life Games and its officers, directors, employees, affiliates, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (e) any claim that your User Content caused damage to a third party.

We reserve the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. You shall not settle any indemnifiable claim without our prior written consent.

12. Copyright and DMCA Policy

Good Life Games respects intellectual property rights. If you believe that material on the Service infringes your copyright, please submit a notice to us containing the following information:

• A description of the copyrighted work you claim has been infringed
• A description of the material you claim is infringing, and its location on the Service
• Your contact information (name, address, phone number, email)
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your electronic or physical signature

DMCA notices should be sent to: info@goodlifegames.co with the subject line “DMCA Takedown Notice.” We will respond to valid DMCA notices in accordance with applicable law and will terminate the Accounts of repeat infringers.

13. Dispute Resolution

13.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact us at info@goodlifegames.co and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days of receiving your written description of the dispute.

13.2 Binding Arbitration
If the dispute is not resolved informally, you and Good Life Games agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including the interpretation, formation, performance, or breach thereof) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as provided below.

The arbitration shall be conducted in Omaha, Nebraska, USA, or by video conference at your election, before a single arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND GOOD LIFE GAMES AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

13.3 Exceptions to Arbitration
Notwithstanding Section 13.2, either party may bring a claim in small claims court if it qualifies. Either party may also seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

13.4 Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, USA, without regard to its conflict of laws principles. To the extent that any dispute is not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Douglas County, Nebraska.

13.5 Time Limitation on Claims
Any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year of when it accrued, or be permanently barred.

14. General Provisions

14.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated herein, constitute the entire agreement between you and Good Life Games regarding the Service and supersede all prior agreements, representations, or understandings between the parties relating to the same subject matter.

14.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term shall be effective only if in writing and signed by an authorized representative of Good Life Games.

14.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. Any purported assignment in violation of this section is void.

14.5 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of war or terrorism, government orders, infrastructure failures, or third-party service outages.

14.6 Electronic Communications
You consent to receive communications from us electronically, including via email or notices posted on the Service. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

14.7 No Third-Party Beneficiaries
These Terms are for the benefit of the parties only and do not create any third-party beneficiary rights.
